Received in connection with the Issuer's business combination (the "Merger") with Salarius Pharmaceuticals, LLC ("Private Salarius") in accordance with the terms of the Agreement and Plan of Merger dated as of January 3, 2019 and amended on June 27, 2019, by and among Issuer, Falcon Acquisition Sub, LLC and Private Salarius, in exchange for 344,013 shares of common stock of Private Salarius.
2. 1,015 shares of the Common Stock are restricted stock.

appoints David J. Arthur and Scott Jordan, or any of them signing individually,
the undersigned's true and lawful attorney-in-fact to:

(1)     prepare, execute in the undersigned's name and on the undersigned's
        behalf, and submit to the Securities and Exchange Commission (the "SEC")
        a Form ID, including amendments thereto, and any other documents
        necessary or appropriate to obtain codes and passwords enabling the
        undersigned to make electronic filings with the SEC of reports required
        by Section 16(a) of the Securities and Exchange Act of 1934 or any rule
        or regulation of the SEC; and

        capacity as an officer and/or director of Salarius Pharmaceuticals, Inc.
